Executive Deferred Compensation in 2026: How to Make the Election You Cannot Take Back
Your deferred compensation election window is open. You have until June to decide. The choice carries massive tax and credit implications, and reversing it later is nearly impossible.

It is May 2026. You work as an M7 executive at Raytheon Technologies (RTX). Your company offers a Compensation Deferral Plan (CDP) and a Performance Share Unit (PSU) deferral option. You earned $200,000 in base salary this year and have been allocated $400,000 in performance-contingent bonuses and PSUs.
Your enrollment window closes June 30. You need to decide: defer $300,000 of your 2026 compensation to 2030? Defer $100,000? Defer nothing and take it all in cash?
This single election will shape your tax liability for five years and expose you to your employer's credit risk. Get it wrong, and you will spend five years regretting the decision with no way to fix it. This is the nonqualified deferred compensation (NQDC) decision.
What Is NQDC and When Can You Elect It?
Nonqualified deferred compensation is compensation that an executive agrees to receive in a future year rather than in the year it is earned. IRC Section 409A governs these plans. The key rule: elections to defer are made before the compensation is earned. If you want to defer 2026 income, the election must be made in 2025 or very early 2026 (before the income is actually earned - typically before June for performance-based awards paid in July).
Most large companies with executive-level compensation offer NQDC plans. At RTX, the Compensation Deferral Plan (CDP) allows salary and bonus deferral. The PSU Deferral Plan allows deferral of earned performance shares to a future date. At Intel, executives have SERPLUS (Supplemental Executive Retirement Plan). At Freeport-McMoRan, there is a similar structure.
The election is largely irrevocable. You can modify the distribution timing in narrow circumstances (within 12 months of the originally scheduled distribution date, or in the case of an unforeseeable hardship), but you cannot easily change your mind five years into deferral and say "I want this money now." The IRS and employer plan rules do not allow it. You are locked in.
The Three Critical Decisions
When you make a NQDC election, you are making three separate decisions:
Decision 1: How Much to Defer? Do you defer $100,000, $300,000, or the maximum allowed? This is a tax question combined with a credit risk question. Deferring more money saves more taxes today but increases your exposure to the company's credit risk (see below).
Decision 2: When to Receive It Back? Deferral plans offer distribution timing options. You might choose a fixed date (e.g., January 1, 2030), distribution at retirement, distribution upon separation from the company, or a series of installments (e.g., 20% per year for five years starting in 2030). This is driven by when you expect to need the money and by tax optimization (minimizing your marginal tax rate when the money is distributed).
Decision 3: Investment Allocation Within the Plan? Most NQDC plans allow you to allocate your deferred balance among "investment options" - typically mutual funds, stable value funds, or company stock equivalents. The investment allocation does not actually invest the money; rather, the plan credits your account with notional gains or losses. But the allocation affects what you see on your statement and affects psychological tracking of the balance.
These three decisions are interrelated. Let us examine each in detail.
Decision 1: The Deferral Amount and Credit Risk
The financial incentive to defer is tax savings. At a 45% marginal federal and state tax rate, deferring $300,000 saves $135,000 in current-year taxes. The money grows tax-deferred for five years at, say, 5% average return. At the end, you owe taxes on the original $300,000 plus the growth, but you paid no tax during the five years. The tax deferral benefit is real.
But there is a cost: credit risk. Your deferred compensation is not in a separate account or trust - it is on your employer's books as an unsecured obligation. If RTX goes bankrupt, your deferred comp is a claim against the general creditors. You stand in line behind bondholders, after bondholders in some bankruptcy structures, potentially never collected.
This is not theoretical. In the 2008 financial crisis, Lehman Brothers executives with millions in deferred compensation received pennies on the dollar upon liquidation. More recently, Ericsson (Swedish telecom) and various financial companies have reduced deferred comp payments during distress.
For RTX, a $500 billion defense contractor with strong credit ratings and government contracts, the credit risk is low. For Intel, which has faced margin pressure and workforce reductions, the risk is higher. For a smaller pharmaceutical company, the risk could be material.
The decision on deferral amount is: how much tax deferral benefit is worth the credit risk? A financial advisor should model the scenario: assume your company faces distress, deferred comp is reduced 50% (a reasonable stress scenario), and calculate whether the tax savings were worth the potential loss.
For RTX, many executives defer significant amounts (50% to 70% of available compensation) because the credit risk is low and the tax benefit is substantial. For a riskier company, the answer might be "defer 20% maximum, keep the rest in cash."
Decision 2: Distribution Timing and Tax Optimization
When you defer 2026 compensation and plan to receive it in 2030, your tax liability is triggered in 2030 (not 2026). Your 2030 marginal tax rate depends on your total income in 2030. If you are still employed at RTX in 2030 earning $600,000+ base salary, your marginal rate might be 45%. If you retire early and have minimal income, your marginal rate might be 24% federal (lower brackets).
The optimal distribution timing is when your marginal rate is lowest. For an executive expecting to retire at 55 (2030 in this example) with a substantial 401(k) and Social Security to live on, taking a large distribution then (and thus being in a lower bracket) might make sense. For an executive planning to work until 65, deferring to retirement (age 65+) when you might be in a lower bracket due to lower active income (but potentially higher investment income) could be optimal.
This requires detailed modeling. A financial advisor should project your income in each future year, calculate your marginal rates, and identify the year or years when distribution should occur to minimize lifetime taxes.
Example: RTX M7 executive, age 45, $1.2 million total annual comp, plans to retire at age 55. Defers $200,000 annually for five years (2026-2030), total deferred balance of roughly $1.1 million with growth. Takes entire balance in 2030 upon separation. 2030 income is pension (if any), Social Security at age 55 (may not have started), and $1.1 million lump sum. The marginal tax on that $1.1 million might be 32% federal (at the top of the 24% bracket plus phaseouts), resulting in roughly $350,000 in taxes. Compared to 2026-2030 taking the money in cash and paying 45% taxes each year ($180,000 total per year for five years, or roughly $450,000 total), deferral saves roughly $100,000 in taxes. The credit risk over five years is acceptable to most executives for this benefit.
Decision 3: Investment Allocation (A Notional Choice)
Most NQDC plans allow you to allocate your deferred balance to notional investment options - mutual fund equivalents, a company stock equivalent, stable value funds, etc. This allocation does not actually invest the money. The employer holds the cash and credits or debits your account based on the notional allocation.
Example: you defer $300,000 to the RTX plan, allocate 50% to an RTX stock equivalent, 50% to a bond fund equivalent. In year one, RTX stock gains 20% (notional) and the bond fund gains 3% (notional). Your account is credited with $30,000 (50% of $300,000 times 20%) plus $4,500 (50% of $300,000 times 3%), for a total notional balance of $334,500. But you own no actual RTX stock and own no actual bond fund. The employer simply keeps the cash and tracks your notional account.
The allocation choice is psychological and for administrative tracking. The actual crediting to your account is based on your allocation choices. However, the allocation does not affect your actual investment returns (the employer keeps the cash, not you). The allocation is for bookkeeping.
A common mistake: executives allocate heavily to company stock equivalents, thinking this provides upside participation. It does not. You already have company stock exposure through RSUs and option exercises. Allocating your NQDC balance to a company stock equivalent adds additional company exposure without any actual benefit - you do not own the stock, you own a notional account credited with stock-like returns.
The prudent allocation: diversified (e.g., 60% bond equivalent, 40% stock equivalent broadly diversified) to generate notional returns that approximate your investment portfolio. This avoids doubling down on company concentration.
A Real-World Model: Stacking NQDC with Retirement Income
Here is how a comprehensive deferral strategy works in practice:
Executive Profile: Age 48, RTX M7, earning $1.5 million annually ($600,000 base, $400,000 bonus, $500,000 in long-term incentives). Married, two children. Plans to retire or reduce work at age 60. Current assets: $4 million (401(k), taxable accounts, home equity excluded).
Deferral Decision: Defer $250,000 annually for the next five years (years 2026-2030). Total deferred: $1.25 million before growth.
Distribution Decision: Take the deferred balance as a lump sum in January 2031 upon retirement. This bunches all deferred compensation into a single year when active income has ceased.
Retirement Income Stack (Age 60+):
- Year 2031: Lump sum NQDC distribution ($1.5 million after five years of notional growth at 5%)
- Year 2031: 401(k) balance of $3 million (existing plus continued contributions)
- Year 2033 onward: Social Security (~$60,000 annually at full retirement age if claiming at 66)
- Ongoing: Taxable account distributions and dividends (~$150,000 annually pre-tax)
The goal: in 2031, when you are retired and have minimal active income, the $1.5 million NQDC lump sum triggers tax liability in that year at a lower marginal rate (perhaps 24% to 32% federal, depending on total income) than if it were distributed in 2026-2030 at a 45% rate. This saves roughly $160,000 to $300,000 in taxes over the executive's lifetime, depending on exact modeling.
The risk: RTX faces distress between 2026 and 2031, deferred compensation is reduced, and the executive has already deferred the cash. The mitigation: RTX is a diversified defense contractor with stable government contracts and a strong balance sheet. The credit risk is moderate.
The Intel Case Study: What Happens When It Goes Wrong
Intel SERPLUS (Supplemental Executive Retirement Plan) had approximately $3.3 billion in total deferred compensation obligations as of 2024. In 2024, Intel announced significant workforce reductions, reduced guidance, and faced competitive pressures from TSMC and Samsung. The stock declined 55% from its 2021 peak. An executive with $2 million in SERPLUS deferred compensation faced the following dilemma:
The deferred balance was credited in company stock equivalents. As Intel stock fell, the notional balance fell proportionally. An executive who deferred $2 million in 2019 saw the account decline to $900,000 by 2024 - a real loss of $1.1 million in notional value. Additionally, Intel's credit rating was downgraded, raising the risk that SERPLUS obligations would not be paid in full upon separation.
For this executive, the deferral turned out to be a catastrophic mistake. The tax savings in 2019 (roughly $500,000 at a 45% rate on a $1.1 million deferral) were completely wiped out by the loss in account value by 2024, with the additional concern that the benefit might not be paid at all.
The lesson: credit risk is not purely theoretical. For a company facing challenges, NQDC deferral can be dangerous.
Making Your 2026 Decision
As of May 2026, you have until June 30 to make your NQDC election. Here is the framework:
Step 1: Assess Employer Credit Risk: Is your company healthy? Are you concerned about long-term viability? If you answer yes to the second question, deferral is less attractive. If no, you can comfortably defer.
Step 2: Model Your Lifetime Tax Situation: Work with a tax advisor to project your income in each future year, calculate your marginal tax rate, and identify the year or years when a distribution would minimize taxes. This requires assumptions about career longevity, retirement timing, Social Security, and other income sources.
Step 3: Quantify the Tax Benefit and Compare to Credit Risk: Calculate the tax savings from deferring (marginal rate today minus marginal rate at distribution, times deferred amount). Ask yourself: if I lost 50% of this deferred balance, would the remaining tax savings still be worth it? If yes, defer. If no, take the cash.
Step 4: Choose Distribution Timing Aligned with Your Retirement Plan: Do you plan to retire at 55? 60? 65? Align your distribution date with your expected retirement date for maximum tax optimization.
Step 5: Allocate Conservatively Within the Plan: Choose diversified notional allocations (60% bond-equivalent, 40% stock-equivalent diversified) rather than heavy company stock allocations. You already have company stock exposure through RSUs.
Then make your election, document it, and do not second-guess it. The decision is locked in. Your only recourse for reversals or modifications is a 12-month window before your scheduled distribution. Do not rely on being able to change your mind.
